The position at a glance
The North America Prime Services Legal team seeks a professional to support the expanding global prime brokerage business. This role acts as a key legal partner to the front office to help manage risk while facilitating business growth. The successful candidate will develop technical expertise in equity derivatives and securities financing while operating effectively within a global, distributed team.
In detail
• Provide legal advice and counsel to the Prime Services business to support the CIB – Global Markets business line.
• Advise on transactional agreements including prime brokerage, margin lending, and electronic trading to ensure proper documentation.
• Draft and negotiate master agreements and equity derivatives confirmations to facilitate efficient client onboarding.
• Review stock loan, repurchase, and bespoke commercial documentation to manage legal risks effectively.
• Coordinate with external counsel to ensure internal client needs and transactional opportunities are properly resourced.
• Collaborate with global colleagues across New York, Europe, and Asia to contribute to correct outcomes.
• Demonstrate responsible judgement when handling high-complexity decisions to drive meaningful outcomes for the department.
• Build trust-based relationships with intermediate and senior colleagues to influence stakeholders at the team level.

- Bachelor’s degree in law.
- Admission to New York bar.
- The knowledge of English and French is required.*
- Minimum 5 years of experience practicing corporate or commercial law.
- Responsible advising on legal and regulatory issues relating to an equities financing business.
- Reasoned application of federal securities laws, including the Securities Act and the Securities Exchange Act.
- Dependable judgment when recognizing when to escalate issues for review, guidance, or resolution.
- Collaborative execution of prime brokerage and derivatives agreements.
- Knowledgeable application of the Uniform Commercial Code for legal consistency.
- Committed handling of secured financing or equity derivatives documentation.
- Supportive interpersonal skills when working with internal stakeholders to identify opportunities.
- Professional conduct and high ethical standards to uphold corporate values.
- *Given the vast majority of our clients, both internal and external, are based outside of Quebec and Canada, specific language requirements may apply. Professional working proficiency in French and English languages are required.
