HOURS: Full-time

WORKING PATTERN: Our work style is hybrid, which involves spending at least two days per week, or 40% of our time, at one of our office sites

About this opportunity

This is an excellent chance to join the Securities & Asset Management Legal team (SAML) in a permanent role.  SAML brings together specialist lawyers working closely with the Global Markets business area for clients in the UK and overseas.  The team supports business across a variety of debt capital markets transactions for its clients.  Products include securitisations, unsecured primary bond issuance (IG/HY), private placements, social housing bonds and liability management exercises as well as other innovative capital markets products in the ESG, digital and PVLB spaces.  

We’re looking for a lawyer to support primarily on securitisation transactions involving various asset classes.  These include mortgage loans, credit cards, auto loans and trade receivables.  The role covers the structuring and development of transactions through to launch. You’ll also have the chance to learn about other types of debt capital markets transactions supported by the team, and to collaborate on initiatives with colleagues across Legal & Secretariat (L&S).

What you’ll be doing:

• Providing high-quality, pragmatic legal advice on a broad range of securitisation transactions, supporting the business from initial structuring discussions through to execution and post-closing activities.

• Advising on transactions across a range of asset classes, including residential mortgages, credit cards, auto loans and trade receivables, helping the business identify and manage legal and regulatory risks.

• Negotiating complex transaction documentation, working closely with internal stakeholders, external counsel, issuers and other market participants.

• Supporting the development and delivery of innovative funding and capital markets solutions, ensuring legal advice is aligned to commercial objectives and client outcomes.

• Building trusted relationships with colleagues across Global Markets, Risk, Compliance and Legal & Secretariat, acting as a valued adviser on strategic and day-to-day matters.

• Monitoring legal and regulatory developments affecting securitisation and debt capital markets products, providing clear guidance on potential impacts to the business.

• Contributing to wider Legal & Secretariat initiatives that enhance legal risk management, operational efficiency, knowledge sharing and colleague development.

What we’re looking for:

You must be legally qualified and hold a current practising certificate in a relevant jurisdiction. Your post qualification experience, whether gained in private practice or in a mixture of private practice and inhouse, will have given you a good understanding of the legal and regulatory framework and market practices applying to securitisation transactions.  If that is not quite the case, but you have proven legal expertise in finance and/or capital markets, clearly transferable skills, and are serious about your development, we would still be pleased to consider your application.

In addition to this:

• A clear understanding of and experience providing legal advice on securitisations and be confident analysing and discussing deal structures and documentation for these transactions.

• A curious and growth mindset to learn about a broader range of debt capital markets products and the business itself.

• Ability to provide sound and commercial legal advice and to identify and manage legal risk.

• Able to work well both as an individual and in groups, with the backing of a friendly team who will help you develop your skills and knowledge.

• Excellent communication skills, be great at building trust and influencing others, and want to grow internal and external networks to help achieve more together.

• Able to appreciate the chance to come up with innovative ideas, find opportunities, challenge where appropriate and build consensus.  

• Relish the opportunities to develop yourself and upskill in areas which impact this business, including in matters of ESG, Data, Tech Advances and Digitalisation, as well as the other legal and regulatory issues which impact UK banks, from ring-fencing regulations to cross-border considerations.

• Keen to support wider L&S and business initiatives aligned to the Group’s Accelerate 2030 strategy, including work that improves connectivity, efficiency and the quality of legal risk management.
