This is your opportunity to join Deloitte's market leading Transaction Management Office (“TMO”) team that sits within Deloitte’s M&A practice.
Our Transaction Management Office team is a high-performing team of ECM and M&A professionals who have deep programme management and transaction experience and have successfully advised on some of the largest cross-border deals of recent years. You will have the opportunity to work across a deep range of transactions including IPOs, Significant Transactions, demergers, reverse takeovers, bond issues, fundraisings, and public, private and private equity M&A transactions across a range of industries.
Our TMO team partners with clients to support them in the set-up and mobilisation, planning, preparation and execution of deals all the way through to listing or signing and then completion. We typically deploy experienced transaction professionals to support the central deal / programme team (e.g. M&A, Corporate Development, Finance, Strategy, Legal Teams) and/or to support specific workstreams on the deal programme. The team focuses on providing critical advice, day-to-day guidance and resourcing support to support teams in managing all deal workstreams, stakeholders, investment banks, legal counsel and other advisors in order to ensure successful and effective transaction preparation and execution, reduce risk and safeguard value.
Typically, we operate alongside colleagues providing our clients with a multi-disciplinary and end-to-end transaction assist service which accesses Deloitte’s vast range of specialist expertise including financial, tax, operational, technology, people, finance, legal, regulatory, sale and purchase agreement preparation and negotiation, real estate, treasury, pensions, modelling, separations and integrations. We regularly work on cross-service line and international assignments, enabling our people to build wide networks across both the UK and International firm.
Your role
You will operate as the overall lead of TMO projects and work on high-profile transactions, including IPOs, Significant Transactions, demergers, reverse takeovers, bond issues, fundraisings, and public, private and private equity M&A transactions across a range of industries. You will lead and advise clients across the deal life cycle, including leading the set-up and mobilisation, planning, preparation and execution of deals all the way through to listing or signing and then completion.
On a day-to-day basis, at the Director level, you will lead the TMO team to provide central and workstream dedicated transaction management supporting clients through the delivery of transaction programmes, manage key processes, prepare high-quality materials, co-ordinate stakeholders, maintain plans, actions, issues, dependencies. You will interact regularly with key senior / exec-level client stakeholders, investment banks, legal counsel, reporting accountants and other specialist teams from across Deloitte. You will focus on providing critical advice, day-to-day strategic guidance and oversee resourcing to support clients in managing all deal workstreams, stakeholders, advisors in order to ensure successful and effective transaction preparation and execution, reduce risk and safeguard value.
Responsibilities:
Responsibilities will vary by transaction, but typically include:
· Oversee and lead TMO engagements and teams as the day-to-day Director, delivering excellent service to clients and building high-performing teams and best practices;
· Advise and bring deep capital markets / M&A transaction expertise and insight to the overall transaction preparation and execution process;
· Advise company transaction leads in establishing and setting up the overall transaction programme and workstream structure – sharing key learnings and best practices from other deals;
· Work with company transaction leads, investment banks, legal counsel and other advisors to lead the development of the overall transaction timetable, roadmap and plan, then work closely with workstream leads to manage the development and delivery of these workstream plans
· Lead the design and development of programme governance structure, forums, processes and facilitate decision making;
· Trusted advisor to lead stakeholder management across all transaction stakeholders (e.g. company-side teams and advisors, including banks, lawyers and Deloitte specialists);
· Oversee, advise, identify and lead the management of overall transaction and workstream status, action tracking, risks, issues and dependencies;
· Oversee the input into and lead the drafting of key transaction documents (e.g. Prospectus, Circular, Investment Memorandum, Management Presentations etc);
· Oversee and lead the co-ordination of company-side diligence, data room, information request and verification activities;
· Oversee the preparation for and help co-ordinate transaction steering committees, working group and all-hand meetings;
· Oversee the preparation of presentations, Board and steering committee papers and materials, decision-making packs for both internal and external audiences, in order to support transaction preparation and execution;
· Lead and drive business development activities, focusing on the agreed industry/area/proposition in the market, build team and individual market eminence, develop strong and long-lasting client relationships and Deloitte network, responsibility for originating and leading / converting opportunities;
· Be a core part of the TMO leadership team, to oversee and lead the development of the TMO business and team by driving initiatives, bringing ideas, and drive forward actions agreed;
· Oversee and effectively lead a high-performing and diverse team culture, where people are recognised for their contribution;
· Provide visible leadership and have responsibility for upskilling and coaching high-performing teams and providing mentorship and pastoral care; and
· Oversee Deloitte engagement management, Deloitte team budget and cost tracking and reporting.
Connect to your skills and professional experience
- Excellent programme management skillset with a track record of delivering projects in a complex, high pressure and fast-paced client-facing environment;
- Excellent experience in ECM and M&A transactions, with the motivation to upskill team members in building deep technical and practical transaction execution expertise;
· Excellent experience of capital markets and/or M&A transactions, ideally gained in investment banking, corporate advisory, transaction services, legal, investor relations, corporate development, audit or a listed-company environment, ideally in a transaction management role;
- · Deep understanding of the key stages of deal execution, including preparation, diligence, documentation, governance, announcement, signing, completion and post-completion handover;
- written and verbal communication skills, with the ability to simplify complex transaction issues for senior audiences;
- track record of working confidently with internal and external stakeholders, ideally in transactions, capital markets, advisory or listed-company environments;
- · Deep understanding of listing rules, disclosure requirements and market practice for key global exchanges, particularly in London, EMEA and US;
- · Strong understanding of key financial, accounting and valuation concepts in the context of capital markets and M&A transactions;
- · Deep experience of setting up, organising, managing and/or reviewing ECM and/or M&A VDRs and have a strong sense of process, controls and governance to manage large and complex processes, risks and interdependencies
