• Advise private capital clients, including private equity sponsors, sovereign wealth funds, pension funds, infrastructure and real estate investors, and corporates on complex domestic and cross-border transactions.
• Lead and manage key workstreams on M&A, private equity, public-to-private, joint venture, co-investment, growth equity, structured investment, restructuring and exit transactions.
• Draft, review and negotiate transaction documentation, including sale and purchase agreements, investment agreements, shareholders’ agreements, joint venture agreements, disclosure materials and ancillary documents.
• Manage due diligence processes, coordinate multi-jurisdictional input and identify key legal and commercial issues.
• Work closely with partners, counsel and other senior lawyers on transaction strategy, structuring and execution.
• Supervise, mentor and support junior associates and trainees, including through delegation, feedback and technical training.
• Liaise directly with clients, counterparties, financial advisers and other professional advisers.
• Collaborate with specialist teams across antitrust, regulatory, financing, capital markets, tax, employment, incentives, funds, investigations and disputes.
• Support business development initiatives, including client pitches, legal updates, market analysis and thought leadership.
• Contribute to the development of know-how, precedents and internal training within the PCT&A group.

Candidate Requirements

• Qualified lawyer with strong private equity, M&A and/or corporate transactional experience, ideally gained at a leading international law firm.
• Experience advising on complex, cross-border transactions in Singapore and/or across Asia-Pacific.
• Strong technical legal skills, with excellent drafting, negotiation and transaction management capabilities.
• Commercially astute, with the ability to understand clients’ strategic objectives and deliver practical, business-focused advice.
• Experience working with private equity sponsors, sovereign wealth funds, pension funds, infrastructure or real estate investors would be advantageous.
• Ability to manage multiple workstreams and deadlines in a fast-paced environment.
• Strong interpersonal skills and confidence in dealing directly with clients and advisers.
• Proven ability to supervise and develop junior team members.
• Collaborative, proactive and resilient, with a strong commitment to excellence.
