Job Overview
Our Debt Finance Practice specializes in advising clients on all aspects of debt-related transactions and financial structuring. We provide legal expertise to borrowers, lenders and other financial institutions on a wide range of financing matters, including syndicated loans, leveraged buyouts, refinancing and structured finance. Our team assists clients in negotiating and drafting loan agreements, security documents and other related contracts, ensuring compliance with regulatory requirements and managing potential risks. By leveraging our extensive knowledge of global financial markets and regulations, our Debt Finance Practice helps clients secure favorable financing terms and navigate complex financial landscapes, ultimately supporting their strategic financial goals and operational needs.
A Senior Associate at this level provides expert legal advice on often complex transactions. They represent clients under the supervision of partners in complex negotiations, while building and maintaining client relationships to build own book of business. They also contribute to talent development, knowledge management, trialing new legal tools where necessary.
Roles and Responsibilities
- Leads and manages often complex transactions, ensuring effective legal strategy and execution
- Leads the drafting and negotiation of critical transaction documents, such as purchase agreements, shareholder agreements, and financing documents
- Works closely with clients to understand their needs and delivers strategic legal solutions and favorable outcomes on transactions
- Represents clients (under the supervision of partners) in negotiations, assisting in areas like structuring of transactions to optimize legal, tax and business outcomes
- Leads comprehensive due diligence processes, identifying potential risks for client, and ensuring thorough review and analysis of relevant documents.
- May advise clients on post-transaction integration issues, handling or referring within the Firm any arising legal matters, and ensuring ongoing compliance with transaction terms
- May assist more senior colleagues on complex transactions in developing transaction and deal strategies, preparing for negotiations
- Stays updated on legal developments in the area of specialization
- Helps coach and develop more junior lawyers in a specialized area within a larger practice
- May set the technical and professional direction of a specialism or area of expertise within the practice
- In-depth knowledge and significant experience in a specialized area of law, typically with at least 8 years of practice post qualification
- Ability to support partners in managing client relationships and progressing highly technical matters
- Experience leading complex legal matters
- Excellent communication and collaboration skills
