Business area

In the UK, Global Banking focuses on 4 main business areas: Corporate Clients Group, Global Capital Markets, Low Carbon Transition Group and Transaction Banking.

This role sits within Global Capital Markets, which is a platform designed to provide a fully integrated offer across debt and equity, and work closer with its issuer and investor clients. 

Global Capital Markets encompasses several business lines including the Securitised Products Group which is split into Origination & Structuring (O&S) and Resource & Portfolio Management (RPM). 

The O&S roles, focusing on EMEA securitisation markets, cover the origination, structuring and execution of transactions in the markets as well as warehousing and sponsor-led acquisition financings, across mortgages, consumer and auto assets, whole business, corporate receivables, NPLs, real estate, SMEs, corporate assets, leveraged loans/bonds and middle market loans. The O&S teams help clients find effective ways to raise and invest capital as well as manage their exposure to risk.

RPM roles cover the resources and portfolio management. Within RPM, Securitisation Portfolio Management (SPM) covers specifically the credit management, the resources management and the execution support of transactions originated by the O&S team. The Non-Financial Risks (NFR) Team also sits within SPM, covering management and control of non-financial risks in the transactions.

Job Purpose

As a Vice President, the role holder will be accountable for completing highly-complex analyses, including detailed review of securitisation audit reports, contribution to designing Due Diligence questionnaires and ongoing Non-Financial Risk (NFR) monitoring. Non-Financial Risks include operational, collateral, IT/data integrity, compliance and fraud risks, amongst others. Will be expected to support the NFR Director in leading workstreams, representing SPG with other teams when relevant and to support the business to achieve its objectives and aspirations. 

The NFR Team is responsible for ensuring and promoting the adherence to the NFR Framework, and the Role holder will be responsible for supporting the NFR Director in this regard, identifying, assessing, and monitoring operational risks associated with clients' businesses in both initial Due Diligence phase and ongoing monitoring. The sub-set of clients will be identified with SPM and head of the relevant O&S desks. They will also be relied upon for their input to the continuous improvement of the NFR process. This is a critical role that requires a deep understanding of operational risk management principles, as well as excellent analytical, communication, and project management skills.  The successful candidate will have access to certified third party providers for conducting such tasks.

Key Responsibilities

1.    Client Operational Risk Assessment

a.    Prepare due diligence questionnaires and discussion topics, to cover non-financial risks on the bank’s Due Diligence meetings.

b.    Evaluate SPG clients' risk management practices, controls, ownership and governance structures to identify potential vulnerabilities.

c.    Develop and maintain a comprehensive understanding of clients' businesses, industries, and regulatory environments.

d.    Participate in client-facing Due Diligence meetings, leading discussions on non-financial risk topics.

2.    Third-party Audits

a.    Applying own knowledge and the NFR Framework guidelines to design tailored AUP scopes for third-party audits, focussed on transaction-specific non-financal risks.

b.    Supporting NFR Director with timely analysis of third-party audit reports, identifying key risks and takeaways for the business

c.    Suggesting remediations for the client based on key material observations from reports.

3.    KYC/AML/Compliance Risk Assessment:

a.    Conduct thorough reviews of information provided by SPG clients on their KYC/AML/Compliance set-up

b.    Identify potential compliance risks and provide recommendations to mitigate them.

4.    Application of Risk Rating / Grading

a.    Applying non-financial risk-scoring methodology to securitisation transactions, which can be both objective and subjective.

5.    Ongoing monitoring and review

a.    Continuously monitor clients' operational risk profiles, updating risk assessments and ratings as necessary.

b.    Ongoing use of AI tools to monitor open sources, including news media, company filings, regulatory disclosures and court records.

6.    Reporting and Governance

a.    Regular and structured updates to the NFR Director on transactions for which you have performed the NFR assessments. Participation in credit committee meetings, together with NFR Director, where pertinent points have come up from the NFR assessment.

b.    Supporting NFR Director in maintaining ongoing tracking of audit reports and results, and in preparing summaries for quarterly portfolio review meetings.

7.    Continuous Improvement

a.    Closely work with all parties - NFR Director, O&S teams, SPM and Risk – to continue refining and implementing operational risk mitigation controls.
