Principal Responsibilities:
- - Advise the business teams on all aspects of structured finance transactions, with a primary focus on balance sheet and syndicated financings.
- - Identify and address legal, policy, regulatory, commercial and reputational issues/risks.
- - Manage all aspects of external counsel relationships and engagement.
- - Provide subject matter expertise on regulatory and litigation matters relating to structured finance and mortgage matters.
- - Coordinate with internal stakeholders including legal, conflicts, compliance, controller and audit teams to ensure consistency of coverage and adherence to firm policies, procedures and best practices.
- - Assist in the creation and implementation of firm policies, procedures and guidelines.
Qualifications/Skills:
- - 6+ years of post-JD, transaction-based legal experience at a reputable law firm, investment bank or other financial institution.
- - Strong substantive knowledge and significant experience in structured finance and capital markets including financing, asset acquisition and securitization transactions, preferably with strong lending experience.
- - Familiarity with CFPB, state and federal regulators, lending, bankruptcy, and with various fixed income and derivative products.
- - Possess excellent time management/organizational skills with the ability to handle multiple transactions with competing deadlines.
- - Motivation to expand skill set and excel in a fast paced and rapidly changing business environment with minimum supervision.
- - Excellent communication/presentation skills.
- - Self-starter with strong self-confidence, good judgement, sound decision making and problem-solving skills.
- - Adept at developing interpersonal relationships.
